Terms & Conditions

Please read these Terms and Conditions carefully before using our website or engaging Rushax for any services. By accessing our website or entering into a service agreement with us, you agree to be bound by these terms.

1. Services

Rushax provides digital services including but not limited to web design, SEO, Google Ads management, social media management, graphic design, UX/UI design, and website hosting. The specific scope of any engagement will be agreed in writing prior to commencement of work.

2. Quotations & Proposals

All quotations are valid for 30 days from the date of issue unless otherwise stated. Acceptance of a quotation constitutes agreement to these Terms and Conditions. We reserve the right to revise a quotation if the agreed scope of work changes materially.

3. Payment Terms

• A deposit of 50% is required before work commences on new projects.
• The remaining balance is due upon project completion, prior to the final deliverable being made live.
• Monthly retainer services are invoiced in advance on a calendar month basis.
• Invoices are payable within 14 days of the invoice date unless otherwise agreed in writing.
• Late payments may attract interest at 8% above the Bank of England base rate under the Late Payment of Commercial Debts Act 1998.

4. Client Responsibilities

The client agrees to provide all necessary materials, access, approvals, and feedback in a timely manner. Delays caused by the client may result in revised timelines and, where applicable, additional charges. The client warrants that any materials provided (text, images, logos) do not infringe any third-party rights.

5. Intellectual Property

Upon receipt of full payment, the client will own the final deliverable. Rushax retains the right to display completed work in our portfolio and marketing materials unless otherwise agreed in writing. Any third-party assets (fonts, stock images, plugins) remain subject to their respective licence terms.

All source files, tools, frameworks, and methodologies developed by Rushax remain the intellectual property of Rushax unless explicitly transferred in writing.

6. Revisions & Changes

Quoted projects include a reasonable number of revision rounds as specified in the project proposal. Revisions that materially change the agreed scope will be quoted separately and require written approval before proceeding.

7. Cancellation

Either party may terminate a project with 30 days written notice. In the event of cancellation, the client remains liable for all work completed to the date of cancellation. The deposit is non-refundable. Any work completed beyond the deposit value will be invoiced and payable within 14 days.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive information shared during the course of the engagement and not to disclose it to any third party without prior written consent.

9. Limitation of Liability

Rushax's total liability in connection with any project shall not exceed the total fees paid by the client for that project. We are not liable for any indirect, consequential, or economic loss arising from the use of our services or website, including loss of profits, data, or business.

10. Warranties & Guarantees

We warrant that our services will be performed with reasonable skill and care. We do not guarantee specific rankings, traffic levels, or other performance outcomes from SEO or advertising campaigns, as these are subject to factors outside our control.

11. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.

12. Changes to These Terms

We reserve the right to update these Terms and Conditions at any time. Continued use of our website or services following any changes constitutes acceptance of the revised terms.
